Insurance legal recruiters get this search wrong when they treat the title as portable. A general counsel who has run contracts at a software company has not signed a statutory annual statement, has not sat a market-conduct examination, and has not told a board what a 619 percent aggregate risk-based capital ratio does and does not mean. The NAIC's aggregated property-and-casualty RBC statistics for 2024 data, as of 30 May 2025, show 2,564 companies filed an RBC report, an aggregate RBC ratio of 619 percent, a median of 1,109 percent, and 50 companies at an action level (1.95 percent). That is the language of this seat.

Three files the scorecard has to name. A copied GC description names none of them.

The general counsel of a carrier owns a statutory business in every state where the company is licensed. Market share does not change the filing.

NAIC and the state DOI

Insurance in the United States is regulated by the department of insurance in each jurisdiction, not by a federal charter. The NAIC sets standards for 50 states, the District of Columbia and five territories — 56 jurisdictions — and accreditation is renewed every five years (Skadden, chapter updated June 2026). The general counsel owns the domiciliary filing, the lead-state relationship, Form F, the ORSA, and the group capital calculation. Group capital became an NAIC accreditation standard on 1 January 2026.

Solvency II and the 2027 rewrite

Directive (EU) 2025/2 applies from 30 January 2027. The European Commission, on 29 October 2025, put EU insurers' assets at around EUR 10 trillion and set a 22 percent preferential risk factor for eligible long-term equity. The Insurance Recovery and Resolution Directive, Directive (EU) 2025/1, applies from the same date. A U.S. carrier GC who has never sat a college is the wrong copy for a European balance sheet, and the reverse is also true.

Claims litigation

U.S. property-and-casualty insurers incurred $631.7 billion of losses and loss-adjustment expenses in 2024, on $918.6 billion of net premiums written, up 7.1 percent (Insurance Information Institute, NAIC data via S&P Global Market Intelligence). The same year produced a $26.2 billion net underwriting gain after losses of $22.4 billion in 2022 and $20.3 billion in 2023. The general counsel decides what stays with coverage counsel, what is bad faith, and which panel firm actually tries the file.

Direct premiums written by U.S. property-and-casualty insurers crossed $1.05 trillion in 2024, an 8.0 percent increase, the first time the industry cleared that line (S&P Global Market Intelligence, 24 March 2025). Life and annuity is a different statutory book: life insurance premiums were $172.8 billion in 2024, and annuity premiums and deposits were $432.2 billion (Insurance Information Institute, NAIC data). A search that blends those products into one job description will interview the wrong half of the market.

Two dated reserving changes sit on the life and annuity general counsel, not on a corporate-secretary brief. VM-22 principle-based reserving for nonvariable annuities took effect on 1 January 2026, with a transition through 1 January 2029. Actuarial Guideline 55, adopted by the NAIC in August 2025, required asset-adequacy disclosure on ceded reinsurance beginning with the 31 December 2025 annual statement (Skadden, chapter updated June 2026). If the board cannot name who owns those filings, the seat is already late.

Artificial intelligence is now an examination topic, not a side letter. The NAIC adopted its Model Bulletin on the Use of Artificial Intelligence Systems by Insurers on 4 December 2023. The NAIC implementation map as of 31 August 2026 lists adoptions in 25 states and the District of Columbia. California, Colorado, New York and Texas keep their own insurance-specific AI instruments, including New York Insurance Circular Letter No. 7 (11 July 2024) and Colorado 3 CCR 702-10. The general counsel is the addressee when underwriting, pricing or claims decisions use a model. Privacy leadership that must stay a statutory DPO is a Chief Privacy Officer search, not this one.

A new state license under the NAIC Uniform Certificate of Authority Application generally takes three to six months once the domiciliary license exists (Skadden, June 2026). Do not sequence the general counsel search after that filing if the company needs counsel to make it. Sub-sectors: property and casualty, life and annuities, reinsurance, brokerage and MGAs.

A

Sitting GC and deputy, same product

The first map is general counsel and deputy general counsel already inside carriers, reinsurers and MGAs writing the same line. They have signed the statement, sat the lead state, and briefed a board on RBC or Solvency II. A deputy who has run the examination while the GC was in the room is often the better first-time officer than a GC from an unrelated sector.

Claims and coverage counsel

The second map is the lawyer who has owned the docket: coverage positions, bad faith, panel management, and the call on which files are tried. Outside counsel who have only defended the carrier are a feeder, not a substitute. The test is whether they have told a claims officer to pay, to defend, or to stop.

Capital and reinsurance counsel

The third map is treaty, collateral, and group capital. Bermuda BSCR, a Solvency II college, or a U.S. group capital calculation. AG55 and offshore life cessions make this map live for annuity writers in 2026. A transactional M&A lawyer who has never read a treaty is not this person.

MGA and brokerage seats are a fourth cut: producer licensing, errors and omissions, and the carrier agreement, not an admitted balance sheet. Arthur J. Gallagher's general counsel, a broker rather than a carrier, reported fiscal 2025 base salary of $850,000, a $1,000,000 bonus, and total compensation of $8,258,424 (SEC Summary Compensation Table). 04 Mandate scorecard

Five lines we lock in week 1. Outreach does not start without them.

    Reporting line. Chief executive, unless the board has a written reason to do otherwise. ACC 2026: 84 percent of chief legal officers report to the chief executive, and 62 percent have majority oversight of the corporate secretary function. An insurance GC is often the de facto secretary. Do not split that book by accident.

    Domicile, lead state, product. One line on the Blueprint: where the company is domiciled, which department is lead state, and whether the book is property and casualty, life and annuity, health, reinsurance, or an MGA. A life officer will not pass a property catastrophe brief, and we will not pretend otherwise.
  3. 03
    Claims litigation, named. Who owns coverage positions, bad faith, and the panel. The 2024 industry incurred $631.7 billion of losses and loss-adjustment expenses. If that work cannot wait 11 weeks — a catastrophe quarter, an unfair-claims examination — we staff interim counsel in parallel. Interim starts on a 7-day median. It is not a substitute for the retained search.
  4. 04
    Capital regime. U.S. RBC and, from 1 January 2026, group capital as an accreditation standard. Solvency II from 30 January 2027 if the balance sheet is European. Bermuda if the paper is there. Name the regime in the scorecard or the shortlist will mix them.

    Off-limits, conflicts, and cash. We never recruit from a client's legal department for 24 months after a mandate. We never approach lawyers we placed for as long as they stay. Cash and equity come from the bands below, not from a number the compensation committee will not pass. All three go in the letter with the fee.
05 How the search runs

The GC clock is 24 days to shortlist. Cross-border insurance seats take longer.

  2. Weeks 1-2 Total-market mapping

    Blind both ways until mutual interest. No CV leaves us without written candidate consent. NDA on request. A sitting carrier GC is not shopped to the market.

  4. Day 24 Shortlist dossiers

    Assessment dossiers, not a CV stack. Day 28 when the seat is cross-border (U.S. DOI plus Solvency II or Bermuda). Every name must already be able to sit with the board and name an examination.

  5. Weeks 5-11 Interviews and offer

    CEO, chair, often one independent director. Median accepted offer at week 11, range 8-16. Cross-border median is week 14. Offer engineering covers notice, equity and the 12-month replacement term.

  6. After start Close and 90-day checks

    Onboarding and 90-day check-ins. 97 percent of placed in-house leaders still in post at 12 months; 91 percent at 24 months.

The uncomfortable number is the cross-border one. A transatlantic carrier or a Bermuda reinsurer does not close on the 11-week median.
