A legal executive search firm takes a written brief for a seat the board or the partnership will live with, maps people who are not applying, and puts a shortlist in front of the people who will make the offer. A first legal officer is not a scaled-down listed CLO. Series B-C companies under $50 million of revenue usually have one lawyer; companies at $50-250 million usually have two to four. 03 Who briefs

Companies hire the officer. Law firms hire the partner, the associate, or the operator.

Company side, first

The general counsel, the CEO, the CHRO, or the chair of a committee briefs the seat. The work since 2017 is the 230+ in-house placements, run in 23 countries and 41 cities. Interim and fractional cover is a separate 60+ engagements, with a median of 7 days from first call to start. Days billed on that cover credit against a later retained fee. Law-firm side, second

A managing partner briefing a chief operating officer, a practice-group lateral, or an associate class is buying the same retained method against a partnership scorecard. Association of Corporate Counsel, 2026 Chief Legal Officers Survey, published 29 January 2026: of 1,049 chief legal officers in 43 countries, 84 percent report to the chief executive, up from 79 percent a year earlier, and direct reporting to the board fell from 7 percent in 2024 to 1 percent. The ACC 2026 key-findings PDF puts majority oversight of the corporate secretary function at 62 percent. A GC or CLO search that does not lock the reporting line in week 1 is not ready to open.

04 Versus a recruitment agency

Retained search and a recruitment agency are different instruments. In Britain they are not different licenses.

Use retained search for an officer. Use an agency or a day-rate desk for a posted attorney, a contract, or a defined-matter surge.

A recruitment agency introduces a person the company will employ, usually against a requisition that is already written, and is paid if the hire happens. A legal executive search firm is paid to run the search. On our corporate mandates the fee is 25-30 percent of total first-year compensation. A retainer of 30 percent of the fee is paid at engagement and kept if the client cancels the search.

GOV.UK guidance updated 22 June 2026 states that the Employment Agencies Act 1973 applies to executive search consultants as well as to recruitment agencies, that the Act does not regulate the fees charged to hirers, and that the Fair Work Agency became the state regulator for employment agencies and employment businesses in England, Scotland and Wales on 7 April 2026. The commercial difference is exclusivity, a written scorecard, a map of people who are not applicants, and a confidentiality protocol. It is not a separate UK license. Corporate Legal Operations Consortium, 2026 State of the Industry, published 2 March 2026 from the 2025 Harbor survey of 135 law departments with median revenue of $13 billion: 32 percent expect attorney headcount to increase, and 37 percent expect outside-counsel spend to increase, down from 58 percent the year before. In that 2 March 2026 CLOC report, regulatory compliance was a workload driver for 63 percent of departments and cybersecurity for 58 percent, and 85 percent of departments now have dedicated AI oversight or resources. That is why a chief compliance officer, a head of legal operations and an AI-governance counsel are separate retained seats, not a line on a general counsel requisition.

05 Mandate scorecard

Four lines in week 1. Outreach does not start without them.

    Reporting line. For a general counsel or chief legal officer, the chief executive, unless the board has agreed otherwise. ACC's 2026 survey puts that reporting line at 84 percent. A CCO brief names the audit committee or the CEO before names are called. A firm COO reports to the managing partner.

    The seat itself. A CLO-plus-compliance title on a one-lawyer budget is two searches. A head of legal operations is not a deputy who will also run e-billing. A chief privacy officer is not a policy memo. The scorecard names the decisions this person will take in the first ninety days.

    Cash and the fee. Base and bonus from the bands below, or the client corrects the band and outreach waits. The fee is 25-30 percent of total first-year compensation, with a retainer of 30 percent of the fee at engagement. We do not open outreach on a number the compensation committee will not pass.

    Off-limits and conflicts. We never approach lawyers we placed for as long as they stay. We never recruit from a client's legal department for 24 months after a mandate. Both sentences go in the letter with the fee. Conflicts are checked before the first call.

07 Mapping

The map is 1,480,000+ lawyers. It is not a list of people who sent a CV.

A mandate uses the slice of that map that matches the seat. The US in-house population is a different statistic and is not added to it.

Names already inside the client's department, and lawyers we placed who are still in seat, are off the slice before the first call.

The Association of Corporate Counsel reported, on 30 September 2025, that US in-house counsel grew from 78,000 in 2008 to 145,000 in 2024. That is a population statistic about the company-side profession. It is not our map, and it is not added to 1,480,000+. Corporate mandates have run in 23 countries and 41 cities, from the hubs opened in Milan (2017), Brussels (2019), Dubai (2021), Riyadh (2022), New York (2023), Los Angeles and San Francisco (2024), Houston and Dallas (2024), and London (2025).

On a head of legal operations search for a listed software company in Austin, the shortlist was day 21 and the offer was week 9, one of 12 legal-operations placements. The median for those 12 is 20 days to shortlist and 9 weeks to offer. The Austin file is one search, not the median.
