Seeking a mid- to senior-level Capital Markets associate to join a busy securities practice in New York. The role features work on public and private equity and debt offerings, SEC filings and ongoing reporting, and corporate governance matters for a mix of issuer and underwriter representations.

The team advises clients across industries on IPOs, follow-on offerings, registration statements related to business combinations, proxy matters and routine 10-K/10-Q/8-K reporting. The position offers a competitive compensation package and standard law-firm benefits.

5–7 years' PQE in capital markets/securities work at a major law firm
Experience with public and private equity and debt offerings, including IPOs and follow-on offerings
Familiarity drafting and filing SEC documents (S-1/S-4, proxy statements) and ongoing reporting under the ’34 Act (10-K, 10-Q, 8-K)
Comfort interfacing with regulators and counseling public companies on corporate governance
Strong drafting, negotiation and client-management skills; excellent academic record
Admission to the New York bar
