Apply in confidence →Leading national firm is seeking a mid-level associate to join its investment funds team. The role focuses on private equity fund formation and related investment management matters across multiple U.S. offices.
Typical work includes preparing and negotiating fund formation documents (PPMs/private placement materials, partnership agreements and ancillary agreements), advising on governing documents for management companies and GPs, and reviewing fund documentation on behalf of institutional investors. Familiarity with relevant securities regulation, including the Investment Advisers Act, is expected. Experience on private equity secondary transactions and GP-led restructurings is a plus.
Positions are being considered for several U.S. offices (including New York, Chicago and Charlotte); candidates for other locations will also be considered. Applicants must be admitted to the bar of the state where they will work.
- 4–6 years' PQE in private equity fund formation or investment management practice
- Experience drafting and negotiating fund documents (PPMs, partnership agreements, side letters and ancillary agreements)
- Working knowledge of securities regulation, including the Investment Advisers Act
- Experience representing fund sponsors and/or institutional investors; secondary/GP-led transaction experience is advantageous
- Bar admission in the state of the hiring office
