Top-tier global law firm is seeking a Mid–Senior Associate to join its Capital Markets group in New York. The role involves working on a broad range of public and private equity and debt offerings, including IPOs, follow-on offerings and registration statements in connection with business combinations.

The successful candidate will work closely with public-company clients and underwriters, interface with the SEC and other regulators, and advise on ongoing reporting and corporate governance matters. The firm offers competitive compensation and a full benefits package.

5–7 years post-qualification securities/capital markets experience at a major law firm
Experience with public and private equity and debt offerings, IPOs and follow-on offerings, proxy statements and S-4 registration statements
Familiarity interfacing with the SEC and ongoing reporting under the ’34 Act (10-K, 10-Q, 8-K, proxy statements)
Experience representing issuers and/or underwriters and advising on corporate governance
Strong drafting, negotiation and client-management skills; ability to retain and grow relationships
Admission to the New York bar
