Seeking a mid-level corporate associate to join a transactional practice focused on crypto, digital assets and web3 companies. The role involves advising technology and growth-stage clients on token and digital-asset transactions, venture financings with token-related terms, primary and secondary token sales, and related corporate, compensation and employment matters.

Ideal candidates will have hands-on transactional experience with token issuances or other crypto-related corporate transactions and a solid understanding of blockchain technology and market dynamics. Familiarity with securities law and regulatory issues affecting crypto tokens is a plus.

This is a multi-office U.S. search with preferred location in San Francisco; candidates in Los Angeles or New York will also be considered. Competitive benefits and professional development support are offered.

3–6 years transactional experience advising crypto/web3 or technology companies (non‑regulatory focus)
Experience with venture financings, token or digital-asset issuances, and primary/secondary sales
Comfort advising on corporate, compensation and employment matters for tech clients
Strong understanding of blockchain technology and digital-asset markets; securities/regulatory knowledge a plus
Ability to work with clients across early-stage to large private and public companies
