Corporate Associate — M&A & Private Equity, Fort Lauderdale

Join a large international corporate team to advise on mergers, acquisitions and private equity transactions in the healthcare sector. The role focuses on structuring and executing deals for healthcare companies and financial sponsors, with responsibility for drafting transaction agreements, managing due diligence and leading closings.

The position requires counseling clients on healthcare regulatory compliance (including HIPAA and other patient-privacy matters), corporate governance and commercial arrangements, and coordinating with counterparties throughout the transaction lifecycle.

• Juris Doctor (JD), LLM or foreign equivalent
• Approximately 2 years post-qualification experience in M&A/private equity transactions, ideally involving healthcare entities
• Experience drafting Asset Purchase Agreements, Stock Purchase Agreements and Management Services Agreements
• Demonstrated due diligence experience and ability to prepare contract review analyses
• Familiarity with healthcare regulatory matters (HIPAA, corporate practice of medicine, privacy/compliance issues)
• Admission to practice in Florida
