Leading global law firm seeks a senior-level corporate associate to join its US capital markets and corporate practice. The role focuses on domestic and cross-border securities work including public and private offerings, SEC reporting and corporate governance matters. The position is open across multiple US offices and the team is receptive to candidates based outside the immediate office locations.

Day-to-day responsibilities include drafting and negotiating securities offering documents, advising on 1933/1934 Act reporting, coordinating with regulatory authorities, and supporting M&A and corporate governance matters for public and private clients. The group emphasizes professional development and provides exposure to a broad client base across industries.

  • JD from an ABA-accredited law school.
  • 8+ years of post-qualification experience in corporate law with a focus on capital markets.
  • Practical experience with securities offerings (including Rule 144A, S-1/S-3, S-4) and SEC filings (10-K, 10-Q, 8-K, proxy statements).
  • Experience advising on public company reporting and corporate governance.
  • Strong drafting, negotiation and client-facing skills; ability to manage complex transactions independently.
  • Excellent attention to detail, organization and time-management.
