We are seeking an associate to join a US-based firm’s Emerging Business & Venture Capital practice. The role is open across multiple U.S. offices and will support startup, emerging growth and later-stage company clients on a range of corporate matters.

Typical matters include entity formations, financings (convertible notes, SAFEs, priced seed/series rounds), venture capital and private equity transactions, federal securities and state blue-sky compliance, joint ventures, spin-offs, private-company M&A and divestitures, and equity-compensation and employment-related issues.

2–5 years’ transactional corporate experience (startup/VC or private equity-focused practice preferred)
Experience with formations, seed and venture financings (convertible notes, SAFEs, priced rounds), and shareholder/equity-compensation documents
Familiarity with federal securities and state blue-sky compliance and private-company M&A
Ability to manage client relationships across multiple offices and work collaboratively with deal teams
