Emerging Companies & Venture Capital Associate, Corporate — Salt Lake City

Growing corporate team seeks a mid-level associate to join an Emerging Companies & Venture Capital (ECVC) practice in Salt Lake City. The role focuses on transactional work advising startups, founders and venture investors across the company lifecycle—from formation and seed financings through late-stage rounds and pre-IPO preparations.

Typical responsibilities include counseling on entity structure and governance, equity incentive programs, and Delaware corporate issues; drafting and negotiating venture financing documents (preferred stock, investors' rights, voting, ROFR/ROFO/co-sale); and handling convertible note and SAFE arrangements. The position will collaborate closely with corporate, equity compensation, M&A, capital markets, life sciences and technology teams.

• 3–5 years' US law firm experience in venture capital, emerging company or startup transactional work
• Strong experience drafting and negotiating VC financing documents and familiarity with NVCA model forms
• Knowledge of Delaware corporate law, equity incentive plans (stock options, RSUs) and 409A considerations preferred
• Excellent academic credentials, strong transactional drafting and communication skills
• Bar admission (or ability to obtain promptly) in the Salt Lake City office jurisdiction
