Emerging Companies & Venture Capital Associate — Corporate

Mid-level corporate associate position for candidates with strong emerging companies and venture capital experience. You will advise early- and growth-stage companies and venture investors on formation, financings, governance, M&A and other strategic transactions, and support transactional closings and due diligence.

The role is open across multiple U.S. offices; applicants should indicate preferred office at application. The team expects in-office collaboration and requires regular presence on-site (targeting at least three days per week).

• 3–5 years of corporate transactional experience, with documented venture capital and emerging-company work
• JD from an ABA-accredited law school
• Licensed or able to become licensed in the hiring office jurisdiction; must reside in the jurisdiction at time of hire
• Strong drafting, negotiation, research and written communication skills; experience with NVCA-style documents, convertible instruments and term sheets
