Mid-level associate role in a national fund formation practice. The hire will work on sponsor- and investor-side engagements across venture capital, growth equity, impact and crossover funds, handling formation documents, private placement materials, subscription agreements, side letters, and advisory committee governance.

This is a partnership-track position offering significant client responsibility, partner mentorship, and exposure to a steady pipeline of fund and co-investment work. The role also involves advising on regulatory and compliance matters for private fund advisers.

The team works with a broad range of fund managers and institutional limited partners; strong interpersonal skills and the ability to manage multiple workstreams independently are essential.

J.D. from an accredited law school
4–6 years of law firm experience in private fund formation and investment management
Experience representing fund sponsors and/or institutional investors (limited partners)
Familiarity with venture/growth equity funds, co-investment and secondary structures, and relevant SEC/state regulatory frameworks
Active bar membership or eligibility for prompt admission; strong written and verbal communication skills
