The role sits within a multidisciplinary group that integrates corporate governance, securities, and M&A expertise to advise public-company clients on shareholder relations, proxy contests, activist engagements and related governance matters.
Positions are open in either the New York or San Francisco office. Candidates should be prepared for high‑level client counseling, drafting and negotiating governance-related documents, and collaborating across transactional and securities teams on sensitive, time‑critical matters.
- 3–6 years’ post‑qualification experience in shareholder engagement, activism defense, corporate governance, securities law, and/or M&A.
- Admission to the New York or California bar (admission to either is required for consideration).
- Strong drafting and oral advocacy skills; experience preparing proxy‑related materials, governance agreements, or securities filings preferred.
- Ability to work under client deadlines, manage parallel matters, and collaborate across transactional and securities practices.
