We are seeking a mid-to-senior level associate to join a national M&A practice at a major international law firm. The role involves working on complex domestic and cross-border transactions for public and private companies, strategic investors and private equity sponsors.

Successful candidates will draft and negotiate transaction documents, manage diligence processes, lead deal workstreams, and collaborate across offices and practices. This opportunity is open to candidates across the firm's U.S. offices, with particular interest in Silicon Valley, Boston, Denver and New York.

3+ years of transactional experience in M&A or related corporate work
Strong experience drafting and negotiating purchase agreements, disclosure schedules and ancillary transaction documents
Comfort managing diligence and coordinating deal teams on complex domestic and cross-border matters
Experience with public and/or private company M&A; familiarity with federal securities law and Delaware corporate law preferred
Experience with technology or life‑sciences clients is a plus
J.D. from an accredited law school and admission to the bar in the jurisdiction of practice
Excellent analytical, writing and interpersonal skills; ability to supervise junior lawyers and integrate legal technology and workflow tools
