Securities Associate / Of Counsel — Indianapolis

Growing corporate team seeking a securities attorney to handle SEC reporting and transactional securities work. The role focuses on advising public and pre‑public companies on Exchange Act reporting, Section 16 matters, proxy statements, and Securities Act offerings including IPOs, secondary offerings and shelf registrations.

The position offers regular client contact, responsibility for preparing and filing periodic reports and transactional SEC documents, and collaboration with corporate colleagues on governance and listing matters. Candidates will join a national firm with an established corporate practice and a collaborative culture.

• At least 4 years’ securities/SEC reporting experience (Form 10‑Ks, 10‑Qs, 8‑Ks, Section 16 filings, proxy statements).
• Experience with Securities Act offerings (IPOs, secondaries, shelf registrations) and public company governance and listing rules.
• Outstanding drafting, research and analytical skills; strong academic credentials.
• Ability to take direct responsibility for client matters and work collaboratively across teams.
• Admitted and in good standing in the state bar or eligible for waiver.
