Senior Associate / Of Counsel, Private Equity M&A — Dallas

Experienced private equity transactional lawyer sought for a senior associate or of counsel role in a Dallas corporate group. The position focuses on representing private equity sponsors and portfolio companies on equity investments, co-investments, fund-related matters and general corporate transactions.

Responsibilities include drafting and negotiating LLC, limited partnership, shareholder and investor rights agreements, management equity and incentive arrangements, and related transaction documentation. Familiarity with fund structures and M&A work is beneficial.

• JD from an ABA-accredited law school with strong academic credentials.
• Approximately 5 years of post-qualification private equity transactional experience advising sponsors and portfolio companies.
• Proven drafting and negotiation experience with LLC, LP, shareholder/investor rights agreements and management equity arrangements.
• Texas bar admission or ability to become licensed in Texas.
• Strong written and oral communication skills; collaborative team player.
