Associate, Corporate (M&A & Transactional Risk)

Growing business group seeks a team-oriented Associate to join its corporate practice with a focus on mergers & acquisitions and transactional risk products (including representations & warranties insurance). The role offers substantive transactional responsibility and the chance to develop a niche practice advising on insurance-backed risk allocation in complex deals.

The position is ideally based in Chicago or Indianapolis but the team is flexible on location for the right candidate. Responsibilities include supporting and leading underwriting workstreams, reviewing and advising on purchase agreements and related transaction documents, and converting diligence findings into insurance-focused risk assessments.

• 3–6 years of transactional M&A experience (mid-to-large cap preferred)
• Direct experience with representations & warranties insurance or other transactional risk products strongly preferred
• Skilled drafting/reviewing of purchase agreements, stock/membership interest purchase agreements, and ancillary documents
• Ability to translate corporate and real estate diligence into underwriting-focused risk analysis
