Associate — Corporate (Public Companies & Capital Markets)

Short-term hire for a corporate associate with focused capital markets and public company experience. The role sits within a national corporate practice and will support public company reporting, SEC compliance, governance, and securities transactions for listed and soon-to-be-listed issuers.

Work will include advising on periodic reporting and disclosure, Nasdaq/NYSE compliance, proxy and governance matters, and representing issuers or underwriters in capital markets transactions such as IPOs, follow-on equity and debt offerings, PIPEs and at-the-market programs. Experience with technology or life-sciences issuers is a plus.

This position is open across multiple offices in the region; remote flexibility will depend on team practice needs.

• Minimum 5 years' securities/capital markets experience (public company reporting and SEC matters).
• Experience handling IPOs and follow-on offerings, PIPEs, and other capital markets transactions.
• Strong knowledge of SEC disclosure rules, governance matters, and Nasdaq/NYSE listing requirements.
• Admission to the relevant state bar and ability to practice in the U.S.; experience with technology or life-sciences clients preferred.
