Top-tier international private funds team seeks a 3-year associate to join its New York office focusing on private funds, private equity and alternative asset strategies. The role offers exposure to fund formation, primary and secondary transactions, and investor-side work on domestic and cross-border matters.

You will draft and negotiate fund documents and side letters, advise on GP-stake and seeding arrangements, support secondary trades and co-investments, and assist on related regulatory and SEC disclosure matters. The position provides early responsibility, client-facing drafting, and close collaboration with senior deal lawyers across jurisdictions.

Juris Doctor (or equivalent) and eligible for admission to the New York Bar
Approximately 3 years’ relevant private funds / investment management or transactional experience at a major law firm or in-house
Experience with fund formation, primary and/or secondary investments and familiarity with investment management regulatory issues
Strong drafting, negotiation, analytical and project-management skills; comfort with cross-border matters
