Associate / Special Counsel, Corporate Finance & Securities — New York

Leading New York capital markets team is seeking mid-level to senior associates and special counsel with strong securities and public- and private-offering experience. The role focuses on drafting and negotiating offering documents and advising on a broad range of transactions across equity and debt capital markets.

Work will include high-yield and investment-grade debt offerings, IPOs and follow-on equity offerings, Rule 144A and Reg S transactions, and related liability management work. Experience with SEC filings and disclosure obligations is highly valued.

• Mid-level to senior associates and special counsel with demonstrable capital markets / securities experience
• Experience drafting and negotiating offering documents for public and private securities offerings (including debt and equity)
• Familiarity with Rule 144A, Reg S, liability management transactions, SEC filings and disclosure requirements
• Strong academic credentials; prior experience at a top-tier large New York law firm preferred
• Full transactional matters / deal list required for consideration
