Associate — Tech Licensing & IP Transactions, New York

Mid-level associate opportunity in a national IP Transactions group supporting technology licensing and IP-related aspects of corporate work. The role centers on technology and intellectual property licensing, plus transactional IP support for M&A and other corporate deals.

Day-to-day responsibilities include drafting and negotiating joint development and collaboration agreements, technology and IP licenses, SaaS and services agreements, and distribution/OEM/VAR arrangements, as well as conducting IP and technology due diligence. Familiarity with open-source licensing and IP issues raised by artificial intelligence tools is strongly preferred.

The team works collaboratively across practices and offices. Candidates should have strong academic credentials, excellent written and verbal communication skills, and be admitted (or immediately eligible) to the relevant bar.

• Mid-level associate experience in technology and IP licensing and related transactions
• Practical experience supporting IP and technology due diligence in M&A and corporate transactions
• Drafting and negotiating joint development/collaboration agreements, SaaS/services agreements, and distribution/OEM/VAR arrangements
• Familiarity with open-source license terms and AI-related IP issues preferred
• Strong academic record, excellent written and verbal communication skills, and bar admission or prompt eligibility
