Seeking an associate to join a national compensation and benefits practice in New York. The role focuses on executive and equity-based compensation matters across corporate transactions and public-company work.

Typical matters include drafting and advising on equity plans and awards, executive agreements, proxy disclosure and regulatory compliance (including IRC Sections 280G and 409A), and support on M&A and IPO-related compensation issues.

  • 3-6 years post-qualification experience in compensation and benefits work
  • Experience with executive and equity-based compensation, proxy disclosures, and employment/severance agreements
  • Familiarity with IRC Sections 280G and 409A and compensation issues in M&A and IPOs
  • Strong writing, oral communication, and analytical skills
