Seeking an Associate to join a national compensation & benefits practice based in San Francisco. The role focuses on equity and executive compensation matters across corporate transactions and public-company work, including proxy disclosure, employment and severance agreements, and tax-sensitive issues under Sections 280G and 409A.

The team regularly supports M&A and IPO matters and provides employee benefits counsel on compensation programs and equity plans. The firm offers a comprehensive benefits package, parental and fertility support, and a competitive pay range for the role.

3–6 years of experience in compensation and benefits law, with demonstrated work on equity/executive compensation, proxy disclosures, and tax-related issues (IRC Sections 280G and 409A)
Experience on matters related to M&A and IPOs preferred
Excellent writing, oral communication and analytical skills
Strong academic credentials
