The team handles a range of matters including proxy disclosures, employment and severance arrangements, tax-qualified and nonqualified plan issues, and compensation aspects of corporate transactions.
The role will involve drafting and negotiating agreements, advising on IRC Sections 280G and 409A, supporting M&A and capital markets work (including IPO-related compensation issues), and preparing client-facing disclosures and analyses.

- 3–6 years post-qualification experience in compensation & benefits or ERISA-related matters
- Practical experience with equity compensation, executive compensation, IRC Sections 280G and 409A, and proxy disclosure
- Comfort supporting M&A and capital markets (IPO) matters
- Strong writing, communication and analytical skills; excellent academic credentials
