The role involves counseling on equity and executive compensation, proxy disclosure, employment and severance agreements, and tax-driven issues under IRC Sections 280G and 409A, with regular involvement in M&A and capital markets transactions.
The team seeks someone who will draft and negotiate plan documents and agreements, support client work on transactional and ongoing benefit matters, and collaborate closely with cross-practice colleagues. The group offers a comprehensive benefits package and formal new-hire benefits orientation.
- 3–6 years of relevant experience in compensation & benefits, ERISA, and executive/equity compensation
- Experience with proxy disclosures, employment/severance agreements, IRC Sections 280G and 409A, and work on M&A and IPO matters
- Strong academic credentials and excellent drafting, oral communication, and analytical skills
- Bar admission as required and ability to work in New York
