Seeking an experienced Compensation & Benefits associate to join a national private equity-focused practice. The role centers on advising private equity sponsors and portfolio companies on executive compensation and employee benefits across acquisitions, divestitures and day-to-day portfolio matters.

Typical matters include grants of profits interests and other LLC incentive awards, management holdco structures, rollover equity, employment and severance arrangements, and transactional work for privately held-company M&A. The team regularly handles issues under IRC Sections 280G and 409A.

Minimum 5 years of post-qualification experience advising on executive compensation and employee benefits, with substantial private equity experience
Experience with profits interests, LLC incentive awards, management holdco/rollover equity and employment/severance arrangements
Practical experience with M&A involving privately held companies and with IRC Sections 280G and 409A
Excellent academic record and strong written, oral and analytical skills
