National law firm is hiring an Associate for its Compensation & Benefits practice to advise private equity sponsors and portfolio companies on executive compensation and employee benefits matters. The role focuses on deal work and daily portfolio support across acquisitions, divestitures and operational matters.

Typical matters include grants of profits interests and other LLC incentive awards, management holdco and rollover equity arrangements, employment and severance agreements, and tax-sensitive counsel on IRC Sections 280G and 409A. The team values clear drafting, commercial judgment and strong client-facing skills.

5+ years of experience advising on executive compensation and employee benefits, ideally within private equity contexts

Excellent academic credentials and strong writing, communication and analytical skills
