High-performing Compensation & Benefits practice seeking an associate to support private equity-related work across the firm's U.S. offices. The role focuses on representing private equity sponsors and portfolio companies on executive compensation, equity incentive arrangements, and related transactional and day-to-day employment matters.

Typical matters include handling grants of profits interests and other LLC incentive awards, management holdco and rollover equity structures, employment and severance arrangements, and advising on M&A-related compensation issues. Strong technical knowledge of IRC Sections 280G and 409A is required.

5+ years of post-qualification experience advising on executive compensation and employee benefits, with significant private equity and portfolio company experience
Hands-on experience with profits interests/LLC incentive awards, management holdco/rollover equity and employment/severance arrangements
Practical knowledge of IRC Sections 280G and 409A and compensation issues in M&A
Excellent academic credentials and strong writing, oral communication and analytical skills
