Growing Compensation & Benefits team seeks an Associate to support equity and executive compensation matters from the San Francisco office. Work will include advising on equity plans and awards, proxy disclosure, employment and severance agreements, IRC Sections 280G and 409A, and compensation issues in M&A and IPO transactions.

Ideal candidates will have strong academic credentials, superior writing and oral communication skills, and solid analytical abilities. The role offers exposure to high‑profile transactional and corporate matters within a national practice group.

3–6 years of PQE in compensation & benefits/ERISA-related work
Experience with equity and executive compensation, proxy disclosures, and 280G/409A
Transactional experience advising on compensation issues in M&A and IPOs preferred
Excellent writing, communication and analytical skills
