Corporate Associate — Capital Markets and Public Companies

Top-tier technology-focused corporate team is seeking a mid-senior level associate (4–6 years' experience) to join its Capital Markets and Public Companies group. The role is open across multiple U.S. offices and supports a national practice serving technology and life sciences issuers at all stages, from growth companies to established public corporations.

Responsibilities include advising public companies and investment banks on SEC compliance, disclosure, governance and exchange matters, and representing issuers or underwriters in capital markets transactions such as IPOs, SPACs, direct listings and follow-on offerings. The position is hybrid and collaborative, working closely with corporate teams across offices.

• 4–6 years post-qualification experience in capital markets or public company counseling.
• Experience advising public companies on SEC compliance, disclosure, governance and exchange matters.
• Transaction experience representing issuers or banks in IPOs, SPACs, direct listings and follow-on offerings.
• Bar admission (or eligibility to sit/waive) in the relevant office state; superior academic record and strong written and oral communication skills.
• Preference for candidates with exposure to or interest in technology and/or life sciences clients.
