Corporate Associate — Corporate (Cleveland)

Seeking a team-oriented Corporate Associate to join a well-established Cleveland office focused on middle-market private equity and transactional matters. The role offers regular exposure to sophisticated buy‑side and sell‑side M&A, financing and restructuring work across a range of industries.

The associate will work closely with partners and clients on deal execution, drafting and negotiating transaction documents, conducting due diligence reviews and preparing reports, and assisting with post-closing matters and general corporate counseling. The position will also support the team’s ESOP practice.

• 4–6 years of corporate/transactional experience (M&A, private equity or similar)
• Proven drafting and negotiation skills; experience preparing purchase agreements, governance documents and related transaction paperwork
• Experience conducting due diligence and preparing due diligence reports
• Ability to manage deal execution in a collaborative, fast-paced environment and work closely with partners and clients
• ESOP transaction experience preferred but not required
• Active bar admission in the relevant jurisdiction or eligibility to obtain admission
