Apply in confidence →Seeking a transactional associate to join a corporate group focused on corporate trust work. The role supports corporate trust matters for financial institutions and corporate trust clients across a range of transactions, including structured finance (RMBS/CMBS/ABS/CLO), municipal/public finance, corporate debt/high-yield, loan agency, and custody/documentation matters.
This is a multi-office U.S. role; candidates should specify the office where they wish to be considered. The team handles drafting, negotiating, and reviewing trust indentures, agency/loan/facility agreements, custodial and servicing documents, pooling and servicing agreements, and related post-closing and default issues.
The firm maintains a hybrid in-office policy that asks attorneys to work on-site multiple days per week to balance collaboration and flexibility.
- 3–5 years of transactional experience (corporate trust, structured finance, securitization, or related finance transactions)
- Experience drafting, reviewing, and negotiating trust indentures, agency/loan/facility agreements, custodial/servicing and pooling documents
- Strong legal writing, transactional drafting, negotiation, analytical, and organizational skills
- Excellent communication, client service orientation, and ability to manage multiple matters in a collaborative team environment
- Superior academic credentials
