Our Corporate & M&A practice is a globally recognized leader in public and private mergers and acquisitions. We advise a diverse clientele—including multinational corporations, private equity firms, and banks—on complex, high-stakes transactions, providing strategic planning, due diligence, negotiation, and execution across mergers, acquisitions, divestitures, joint ventures, and other corporate combinations.

We are seeking a junior associate with 1–3 years of experience representing emerging companies, their founders, and venture capital funds. The role focuses on the full lifecycle of emerging growth companies—from business formation and financing transactions to mergers and acquisitions—as well as the funds that invest in them. Our practice spans industries such as software, enterprise, security, digital health, AI, fintech, gaming, and blockchain.

Ideal candidates will possess strong academic credentials, commercial awareness, and the ability to synthesize complex issues for clients and team members. You should thrive in a fast-paced environment, managing multiple workstreams and tight deadlines with composure. Excellent oral and written communication skills are essential, as is the ability to work collaboratively in large, international, multidisciplinary teams. Key responsibilities include:

  • Representing emerging technology and life science companies and venture capital investors in corporate and transactional matters, including incorporations, early- and late-stage financings, M&A, and private/public offerings.
  • Advising on start-ups, venture financing, corporate formations, shareholders' agreements, and restructurings.
  • Drafting and negotiating agreements for sophisticated clients.
  • Conducting and overseeing due diligence and legal research.
  • Ensuring client interests are protected and maintaining regular interaction with clients and senior management.

Qualifications:

  • 1–3 years of relevant experience with emerging companies and venture funds.
  • Admission to the California bar and in good standing.
  • Strong drafting, negotiation, and communication skills.
  • Commercial acumen and intellectual curiosity.
  • Ability to manage multiple projects and remain calm under pressure.
  • Team player with a proactive, client-service focus.
