Private Equity Debt Finance Associate, Silicon Valley

Seeking a mid-level associate to join a busy private equity debt finance team in Silicon Valley. The role focuses on representation of private equity sponsors, banks and private credit lenders on leveraged buyouts, acquisition financings and corporate growth financings.

Typical work will include drafting and negotiating commitment papers, credit agreements and collateral documents for term and revolving facilities, and managing transactions from documentation through closing. The team works across practices and groups on complex financings for growth-stage and sponsor-backed companies.

The group offers a collaborative, collegiate environment with significant exposure to deal structuring and lender/sponsor-side negotiation; strong written and verbal communication skills and attention to detail are important for success.

• Experience representing private equity sponsors, banks or private credit lenders on leveraged buyouts, acquisition financings or corporate growth financings
• Strong drafting and negotiation experience with commitment letters, credit agreements and collateral/security documentation
• Outstanding academic credentials and prior law firm transactional experience
• Excellent written and verbal communication skills
• Bar admission or eligibility to obtain admission promptly
