Corporate Associate / Of Counsel — Palo Alto

Established corporate team in Palo Alto seeks a senior associate or of counsel to advise high-growth technology and life sciences companies across the company lifecycle — formation, venture financings, IPOs and life as a public company or sale. You will work directly with company clients on equity financings, capital markets transactions and public-company reporting.

This is a hybrid, Palo Alto–based role where you will lead EC/VC and equity capital-market offerings, supervise junior lawyers and paralegals, and gain broad exposure to fast-moving startup and public-company matters.

• 5+ years of corporate transactional experience (venture capital, emerging-growth, or capital markets).
• Practical experience with IPOs, equity offerings and public-company reporting.
• Proven ability to lead deals and supervise associates/paralegals.
• Strong drafting, project-management and client-communication skills; active bar admission in the U.S.
