Emerging Business & Venture Capital Associate — Corporate

Growing US law firm seeks an associate to join its Emerging Business & Venture Capital practice with openings across multiple U.S. offices. The role focuses on representing startups, emerging-growth and later-stage companies across formation, financing and general corporate matters.

Typical matters include convertible-note/SAFE financings and priced seed/series rounds, venture and private-equity transactions, federal securities and state blue‑sky compliance, private-company M&A and divestitures, joint ventures, and equity-compensation and employment-related issues.

• 2–5 years' corporate transactional experience (startup/venture-side preferred).
• Experience with financings (convertible notes, SAFEs, priced rounds), venture/PE transactions and private-company M&A.
• Familiarity with federal securities and state blue‑sky compliance; equity‑compensation and related employment/consulting matters.
• Prior experience at a reputable law firm, in-house at a well-funded startup, or at a venture fund preferred; strong drafting and deal execution skills.
