Typical responsibilities include conducting diligence on target entities and benefit plans, preparing due diligence reports and ancillary transaction documents, drafting and amending plan documents and SPDs, assisting with IRS correction and qualified plan filings, and advising on cash- and equity-based incentive programs and change-in-control/retention arrangements. Remote work may be permissible under firm policy.
- Juris Doctor (or equivalent)
- Approximately 2 years' post-qualification experience handling ERISA, tax-qualified retirement plans, 401(k), and health & welfare plan documents
- Experience drafting due diligence reports, purchase/ancillary agreements, employment contracts, plan amendments, restatements and SPDs
- Familiarity with equity- and cash-based incentive arrangements, retention/change-in-control/severance plans
- Experience preparing IRS correction program and qualified plan filings
- Admission to practice in Pennsylvania
