Mid-level associate role in a national law firm’s executive compensation group based in Newport Beach. The position focuses on drafting and structuring equity and non-equity incentive plans, deferred compensation arrangements, employment and severance/change-in-control agreements, and related transactional documentation.

Work includes preparing compensation- and benefits-related sections of securities filings and advising on executive compensation issues that arise in mergers, private equity investments and other corporate transactions. The team-based role requires strong writing, analytical and client-communication skills.

3–6 years post-qualification experience in executive compensation, benefits or related corporate practice
Demonstrable experience drafting and analyzing equity awards, non-equity incentive plans, deferred compensation and employment/severance agreements
Experience preparing compensation-related disclosure for securities filings and advising on comp issues in M&A and private equity transactions
Superior academics, strong drafting and interpersonal skills; able to work collaboratively and handle significant individual responsibility
