The role involves drafting and reviewing equity and non-equity incentive arrangements, deferred compensation plans, employment and severance agreements, and change-in-control arrangements.
The position also includes preparing compensation- and benefits-related sections of SEC filings and advising on executive compensation issues arising in mergers & acquisitions, private equity transactions, and other corporate matters. The team seeks candidates who can take significant individual responsibility while collaborating within deal teams.
- 3–6 years post-qualification experience in executive compensation / benefits work
- Hands-on experience drafting and analyzing equity-based and deferred compensation arrangements, employment and severance agreements
- Experience preparing compensation/benefits disclosures for securities filings
- Transactional experience advising on compensation issues in M&A and private equity contexts
- Strong academic credentials, excellent written and verbal communication skills, and ability to work both independently and in teams
