Apply in confidence →Seeking a junior-to-mid level associate to join a national fund formation and investment management practice. The role is preferred in Boston but candidates in Chicago, Dallas, or New York will be considered; other U.S. offices may be possible depending on business need.
The team advises GPs and LPs across the private funds lifecycle. Typical matters include fund and manager structuring, negotiating with institutional investors, secondary trades of LP stakes (buy- and sell-side), and GP-led restructurings. The role also involves Adviser Act registration and compliance work and Securities Act matters related to private funds.
The group values strong document-drafting skills, comfortable client interaction, collaborative teamwork, and a proactive, client-focused approach. Applicants must hold a JD and be admitted (or timely admit) to the hiring office jurisdiction.

- JD from an ABA-accredited law school and active bar membership (or timely admission as required)
- 2–5 years of fund formation and investment management experience (including fund/manager structuring)
- Experience negotiating with institutional investors and working on secondaries and GP-led restructurings
- Working knowledge of Investment Advisers Act registration, compliance programs, and Securities Act issues for private funds
- Strong drafting, teamwork, client-facing skills, and a pro-active work ethic
