Legal consultant — Corporate M&A

Short-term interim role for an experienced corporate/M&A lawyer to support transactions and corporate work across the United Arab Emirates. Typical assignments are full-time, often six months, with opportunities in both Abu Dhabi and Dubai and occasional flexibility on working arrangements.

Work will include leading buy- and sell-side due diligence, drafting and negotiating SPAs, asset purchase agreements, shareholders' and joint venture documentation, advising on corporate governance and restructurings, and coordinating regulatory approvals across UAE onshore and free-zone regimes. Assignments may sit embedded within corporate development teams or as in-house legal support to regional groups and financial institutions.

• Minimum 5 years' post-qualification experience in corporate/M&A at a top-tier law firm.
• Proven experience drafting and negotiating SPAs, APAs, shareholders' agreements and JV documentation; leading due diligence and managing deal execution.
• Familiarity with UAE corporate and free-zone regimes and experience coordinating regulatory filings and approvals.
• Comfortable working on cross-border and Shari’a-compliant transactions; flexible, consultant mindset with ownership of career development.
• Practising certificate or equivalent entitling practice in the region; recent in-house experience and Arabic language skills are advantageous.
