Top-tier national law firm is seeking a mid-level associate to join its Intellectual Property Transactions & Strategies team in the Boston office. The role focuses on technology licensing and IP-related support for corporate matters.

Day-to-day work includes drafting and negotiating technology and IP licenses, SaaS and services agreements, joint development/collaboration agreements, and distribution/OEM/reseller contracts. The position also provides IP support for M&A and other corporate transactions, including technology and IP due diligence and related risk assessment.

Ideal candidates will be comfortable working collaboratively across practices on matters involving open-source licensing and emerging issues around AI and software. Strong writing skills, excellent academics, and bar admission (or eligibility to obtain admission promptly) are required.

Experience drafting and negotiating technology and intellectual property licenses and services agreements (including SaaS).
Experience supporting IP due diligence for M&A and corporate transactions.
Experience with joint development, collaboration and strategic alliance agreements; distribution/OEM/VAR/reseller contracts.
Familiarity with open-source license terms and IP issues related to AI or machine-learning technologies preferred.
Excellent written and verbal communication skills and strong academic credentials; bar admission or eligibility required.
