Mid-Level Associate, Intellectual Property Transactions — Palo Alto

Growing IP Transactions team in Silicon Valley seeks a mid-level associate to support technology licensing and IP aspects of corporate work. The role focuses on licensing and other technology transactions as well as IP support for M&A and other corporate deals, including intellectual property and technology due diligence.

Day-to-day work includes drafting and negotiating joint development, collaboration and strategic alliance agreements, technology and IP licenses, services and SaaS agreements, and distribution/OEM/reseller contracts. Candidates with familiarity with open source license terms and IP issues related to artificial intelligence tools are strongly preferred.

The team values collaborative, cross-practice work and excellent oral and written communication. Relevant bar admission (or prompt eligibility) is required.

• Several years' experience in technology/IP licensing and technology-related commercial contracts
• Experience supporting IP due diligence in M&A and other corporate transactions
• Drafting and negotiating joint development, collaboration, licensing, SaaS, and distribution agreements
• Familiarity with open source licensing and AI-related IP issues preferred
• Strong academics and excellent written and verbal communication; relevant bar admission or eligibility
