Seeking an Of Counsel to join a national capital markets and public company advisory practice. The role supports public companies on reporting and compliance, corporate governance, and capital markets transactions across multiple U.S. offices. Hybrid working with regular in-office presence is expected.

The practice advises issuers, underwriters and other financial intermediaries on complex and innovative securities offerings and provides ongoing disclosure and governance counseling. Candidates should be comfortable working on transactional matters, drafting disclosure and charter/governance documents, and supporting client calls and board-level interactions.

JD from an accredited law school and admission to practice in the relevant state
Minimum 8 years of public company and capital markets experience
Experience with ongoing SEC periodic reporting and disclosure obligations
Strong knowledge of the Securities Act of 1933, the Exchange Act of 1934, and Nasdaq/NYSE listing and governance requirements
Experience advising issuers and underwriters on securities offerings; large-firm experience preferred
Excellent legal writing, research, communication and collaboration skills
