Senior Associate, Leveraged Finance / Private Credit — Houston

Experienced leveraged finance attorney sought to join a national finance practice in Houston. The role focuses on sponsor-backed acquisition financings and complex private credit transactions across a range of structures, including syndicated facilities, unitranche and first-out/last-out arrangements, and mezzanine/subordinated financings.

Core responsibilities include managing transactions from drafting through closing, negotiating intercreditor and subordination mechanics, handling cash-flow and asset-based lending, and leading liability-management and refinance matters in a fast-paced, high-performance environment. The position involves regular interaction with lender clients, private credit funds, and opposing counsel.

• 5–7 years' post-qualification experience in leveraged finance/private credit.
• Proven experience representing lenders, private credit funds, BDCs or non-bank lenders on sponsor-backed acquisition financings and syndicated or unitranche facilities.
• Hands-on experience with mezzanine/subordinated financings, intercreditor arrangements, cash-flow and asset-based lending, and liability-management (amendments, uptiers, exchanges).
• Strong drafting, negotiation and deal-management skills; ability to take ownership and drive transactions to close.
