Senior Associate / Special Counsel, Corporate Finance & Securities — New York

Leading international law firm seeks mid‑ to senior‑level associates and special counsel for its New York capital markets and securities practice. The role focuses on advising issuers and underwriters on a wide range of public and private securities transactions.

Work includes drafting and negotiating offering documents, managing SEC filings and disclosure obligations, and supporting transactions such as IPOs, follow‑on equity offerings, investment‑grade and high‑yield debt issuances, and Rule 144A/Reg S placements. A detailed transaction list/deal sheet is required for consideration.

• Mid‑ to senior‑level associates or special counsel with substantial capital markets / securities experience
• Hands‑on experience drafting and negotiating offering documents for IPOs, follow‑on equity, investment‑grade and high‑yield debt, and Rule 144A/Reg S transactions
• Experience with liability management transactions, SEC filings, and public disclosure requirements preferred
• Strong academic credentials and prior experience at a top‑tier large New York firm preferred
• Complete transactional matters/deal sheet required to be considered
