Associate – Corporate and Finance

We are seeking a team-oriented Associate to join our corporate and finance practice in Cleveland or Indianapolis. This role focuses on middle-market lending, ESOP, and transactional work, offering the opportunity to work closely with partners and clients on sophisticated transactions across a broad range of industries. The Associate will be a key member of our ESOP practice.

The ideal candidate will have 2–5 years of experience handling substantive corporate and transactional matters, including entity formation and governance, commercial financing (including working capital lines of credit, term loan facilities, and asset-based lending), and other complex business transactions. Strong drafting and negotiation skills, sound business judgment, and the ability to manage deal execution in a collaborative, fast-paced environment are essential.

• Draft term sheets and conduct due diligence reviews of data rooms.
• Prepare due diligence reports and transaction documents, including purchase agreements, loan agreements, collateral documents, seller notes, board resolutions, and employment agreements.

ESOP transaction experience is preferred but not required. The salary range for this position is $210,000–$265,000 per year, with actual compensation varying based on experience, education, and skill level.
