Capital Markets Associate — Securities, Washington

Seeking a 1–3 year capital markets associate to join a prominent securities team in Washington, DC. The role focuses on public and private capital-raising transactions and SEC reporting and compliance matters.

Work includes representation of issuers, underwriters, agents and financial institutions on IPOs, follow-on equity offerings, debt issuances, convertible securities, private placements and Rule 144A offerings, together with counseling public companies on ’34 Act reporting, corporate governance and listing requirements.

• 1–3 years of transactional experience in ’33 Act offerings and ’34 Act reporting and compliance
• Substantive experience with public and private equity and/or debt offerings (issuers, underwriters or agents)
• Experience advising public companies on SEC reporting, corporate governance and stock exchange listing requirements
• Admission to the relevant state bar or eligibility for waiver
