Apply in confidence →We are seeking an experienced private equity resource attorney to join our corporate practice, working closely with our M&A and private equity groups. This role does not involve direct client work or billable hours; instead, it focuses on enabling our practicing attorneys to be more informed and efficient through know-how, precedent management, and practice support.
- Experience Management: Assist with M&A/PE data and experience input and maintenance, working with our M&A resource attorney and knowledge management team.
- Form and Precedent Drafting: Prepare drafts and revisions of template documents; curate and organize the PE group’s forms, precedents, and other know-how; cross-check overlays between PE and other practice groups.
- Legal Updates: Monitor legal and regulatory developments affecting PE and core industry verticals (software/SaaS, fintech, telecom, education); prepare summaries and alerts; ensure new requirements are reflected in practice resources.
- Internal Practice Page: Develop and maintain the PE group’s internal landing page.
- Legal Education: Coordinate with the legal education team to create content for associate and firmwide training efforts related to PE.
- Marketing & Business Development: Collaborate with the PE/M&A marketing team on the firm’s PE promotion, including blog content, pitch materials, teach-ins, and tailoring materials to key industry verticals.
- Coordinating Activities: Work with quantitative analysts, resource attorneys in other practice groups, and the innovation team on AI and tech-enabled processes; field day-to-day requests from attorneys for precedents, templates, and other resources; support new initiatives and other duties as assigned.
Qualifications: Licensed attorney with at least 7 years’ experience in a US PE corporate/transactional practice. The ideal candidate will have a solid grasp of private equity, including M&A, portfolio company management, partnership-based equity compensation and related tax issues, acquisition financing (including mid-market LBOs), general corporate and alternative entity matters, and other financial transactions. Strong drafting, communication, and organizational skills are required.

- Licensed attorney in the US
