Busy New York capital markets team is seeking an associate with at least three years' securities experience to support a full-service transactional practice. The role focuses on advising issuers, underwriters and financial intermediaries on a wide range of equity and debt offerings and related disclosure matters.

Typical work includes drafting and negotiating offering documentation (registration statements, prospectuses, offering memoranda, underwriting/placement agreements and indentures), conducting and managing due diligence, and assisting with ongoing public-company reporting and compliance. The team handles IPOs, secondary offerings, convertible and hybrid capital instruments, debt financings and other global funding programs.

Candidates should be admitted (or promptly eligible for admission) to the New York bar and able to work on complex, high-volume securities transactions in a fast-paced environment.

Minimum 3 years' PQE in securities / capital markets work
Admission to practice in New York (or immediate eligibility)
Experience drafting registration statements, prospectuses and transaction documentation
Strong due diligence, disclosure and public-company reporting experience
